The Noida digital marketing contract: a scope of work you can hold somebody to

Noida has a dense supply of small agencies and the commonest failure is a vague scope. Here is the document to write, clause by clause, before you pay anybody.

Noida and Greater Noida have one of the densest concentrations of small marketing agencies in India, clustered through Sector 62, 63, 58 and the Film City and Expressway belt. That means you have genuine choice and competitive pricing, with small agencies quoting roughly INR 20,000 to 50,000 a month and mid sized firms INR 50,000 to 1,25,000. It also means the thing that decides whether your money works is not which firm you pick but what the agreement says. The commonest complaint about Noida retainers is not incompetence, it is that nobody wrote down what was being bought. So write it down. Below is the scope of work document, clause by clause.

Clause one: the objective, as a number

One business number, with today's figure and the target. Enquiries a month, qualified enquiries, admissions, site visits, orders. Not traffic, not impressions, not keyword positions. If nobody currently counts the number, making it countable is the first deliverable and it takes about a week.

Clause two: deliverables with quantities, per month

This is the clause that does the most work. Channels are not deliverables. Write quantities.

  • Pages written or rewritten: how many, and who chooses which.
  • Technical items shipped: a number, not a promise to advise.
  • Creative sets produced: how many concepts, how many variations.
  • Campaigns built or refreshed: how often.
  • Google Business Profile actions: posts, photographs, questions answered, per month.
  • Review requests sent, and by whom.
  • One review call a month, and one written note of what changed and what is next.

A proposal that resists quantities is usually selling you shared capacity and keeping its options open about how much of it you get.

Clause three: the named people, and what happens when they leave

Name the account lead and the practitioners, with roles and roughly what share of their month is yours. Add a line that replacing a named person requires telling you, with a comparable substitute. The quiet handover to a junior in week three is the single most common disappointment in this market, and this clause is what prevents it being invisible.

Ask too whether delivery is in house or white labelled to another firm. A good deal of Noida supply passes work along. That can be well managed, and the reason to ask is not suspicion, it is that you need to know who you can actually call when something breaks at month end.

Clause four: ownership and access

Everything in your company's name, with the agency added as a user:

  • Google Ads, Meta Business Manager and any marketplace ad accounts.
  • Google Analytics, Search Console, Tag Manager, and the conversion configuration.
  • Google Business Profile, as owner rather than manager.
  • Domain, DNS and hosting.
  • Creative source files, not only exported images, delivered monthly rather than at exit.

If an agency proposes running your media spend through its own account, understand what you are trading: campaign history, audience lists and learning data become theirs, and leaving means starting from zero. If the real reason is billing convenience, negotiate payment terms instead.

Clause five: what you are obliged to supply

Half of stalled Noida retainers are stalled on the client side, so put your own obligations in the document. Who approves copy and within how many working days. Who can deploy a website change. Who answers product or technical questions. Who supplies photographs. A named person for each, with a backup. An agency that asks for this clause is a good sign.

Clause six: measurement, and whose number counts

State which system is the source of truth, and it should be yours. Platform dashboards double count across Google and Meta, and reconciling against your own CRM or booking system monthly removes the argument before it starts. Define any qualifying word you use. If the target is qualified enquiries, write the qualification test, agreed with whoever answers the phone.

Clause seven: commercials, stated properly

ItemWhat to state
FeeMonthly amount, exclusive of GST at 18 percent, and what triggers a revision
Media spendA separate number, paid by you, never bundled into the fee
Tax deducted at sourceWho bears it and at what rate, confirmed with your accountant before the first invoice
ExtrasTools, licences, stock, translation, photography, printing. Listed, with prices or a cap
Payment termsAdvance or in arrears, and the days

The fee bands on this page are a working read of what Noida agencies publish on their own sites and packages and of how the market is priced, not a survey. Noida generally quotes below Gurugram for comparable scope, which is one reason a number of Delhi and Gurugram brands buy delivery here.

Clause eight: conduct, exit and the ninety day break

  • No links, reviews, followers or engagement bought on your behalf. This protects you from a cheap tactic that becomes your problem later.
  • No use of your brand in the agency's own paid search without written consent.
  • A break at ninety days if the named deliverables in clause two have not been met, which is a fairer thing to test than results.
  • Notice period, and a handover list agreed at signing rather than argued at exit: access, files, documentation, reporting history.
  • Confidentiality both ways, and a line on whether they may name you as a client.

One thing to leave out of the document entirely: any promise of a ranking position or a lead count in a named month. If a firm offers to write that in, that is the moment to end the conversation rather than the moment to celebrate.

The Noida sector picture, briefly

Three local realities worth reflecting in your brief. Education and edtech are a large part of this market, and admissions work is seasonal and deadline driven, so the plan has to be built around the intake calendar rather than a flat monthly rhythm. Real estate across Noida, Greater Noida and the Expressway is a performance media job with a lead qualification problem attached, so negotiate on cost per site visit. And if your customers are local, you are competing in a sector level catchment: a clinic in Sector 50 and one in Greater Noida West are separate markets and need separate profiles and pages.

Noida digital marketing agreements: the questions worth asking first

Will a small agency accept a scope this detailed?

Good ones prefer it, because it protects them from scope creep as much as it protects you from vagueness. A firm that refuses to quantify anything has told you something useful for free.

How long should the first commitment be?

Three to six months with a ninety day deliverables break. Twelve months without a break clause is worth negotiating, and most Noida firms will.

Is a Noida agency as good as a Gurugram one?

For most briefs, yes, at a lower fee, and the work is remote anyway. Gurugram is worth a premium for large media budgets and corporate procurement processes.

What if the agency wants to use its own ad account?

Decline it unless there is a reason you find convincing, and if you accept, write an exit clause that transfers campaign history and audience data to you.

Is a spend based fee acceptable in this market?

At larger spends it is reasonable. Cap it, make the percentage fall as spend rises, and ask what you would pay if your spend halved next quarter.

Who owns content written for me?

You should, on payment, including source files and anything drafted but unpublished. State it, because the default in an unwritten arrangement is unclear and it matters if you change firms.

A clause nobody in this market has thought to write yet

Here is a deliverable you could add to clause two that no Noida proposal currently contains: a monthly note on what ChatGPT, Gemini and Perplexity say when somebody asks for the best provider of what you sell in your area. Those answers return three or four names with a line each, built from what has been published about those businesses, and for education and real estate in particular that is already how a share of buyers build a shortlist. Ask one yourself before your next renewal and see whether you are in the answer. Measuring where a business stands there, and working on it, is what AI Knows Us was built for.
