What to refuse to sign in an Indian marketing agency contract
Nine clauses to strike or rewrite, ranked by what each one costs you when the relationship ends rather than when it starts.

Indian marketing agency contracts are mostly fine until the relationship ends, and then nine clauses decide how much the exit costs. Below is what to refuse, what to replace it with, and which items are worth losing a supplier over. The ones that matter most are not about money, they are about what you walk away owning.
One, any clause leaving the ad accounts in the agency's name
Refuse it outright. Ad accounts, analytics properties, business manager assets, search console access and any tag container must sit in your company's name with the agency granted access. The reverse arrangement is common, it is presented as convenience, and it means that on the day you leave you lose your own history.
Replace with: client owns all accounts and properties; agency holds admin access during the term; access is revoked on termination with no data removed.
Two, content and creative ownership that transfers only on full payment of all future invoices
Narrow this. Ownership of delivered work should vest on payment for that work, not on completion of the full term. The wide version means a dispute over the final month holds a year of content hostage.
Three, an automatic renewal with a long notice window
A twelve month term that renews automatically unless cancelled ninety days in advance is a contract designed to be forgotten. Agree a term, agree a review date before the renewal, and keep the notice period short in the first term.
Four, a notice period with no treatment of work in progress
State what happens to half finished work when notice is served. Who completes it, who pays for it, and what gets handed over. Without that clause the last month of every relationship is an argument.
Five, performance language that promises a position
If a draft contains a commitment to a ranking or a guaranteed placement, strike it and ask why it was offered. Nobody controls the result, and a firm willing to write it into a contract is telling you how it sells. The honest version is a commitment to defined work, a named number and a review date, all of which are enforceable.
Six, data clauses that do not name what is processed
If the agency touches your customer data for lead generation, email or CRM work, the contract has to name the categories of data, where it is processed and stored, what the agency may do with it, and what happens on exit. India's data protection framework places obligations on you as the business holding that relationship with your customers, and your supplier's tooling choices are inside your perimeter whether or not the contract mentions them.
Replace with: a short schedule listing data categories, processing locations, permitted uses, sub processors, and a deletion commitment with a deadline.
Seven, an exclusivity clause that only binds you
Many Indian specialist agencies hold two or three clients in a category and that can be an advantage. One sided exclusivity, where you cannot hire another supplier while they may take your competitor, is the version to refuse. Convert it into disclosure plus a conflict process.
Eight, invoicing terms that leave tax treatment vague
The contract should state the invoicing entity, the currency, what the invoice will show, and the payment period. What the tax treatment is for your specific company, including anything you can recover, is a question for your own accountant, and asking it before signing is far cheaper than discovering it at the first payment run. Agencies will not volunteer this and a good one will answer it straight.
Nine, a confidentiality clause that stops you describing the work
Mutual confidentiality is normal. A clause preventing you from discussing your own results, including in a dispute or with a future supplier, is not. Keep the right to describe your own numbers.
The clause almost nobody includes and should
A baseline and handover clause. The agency records, in the first month, what the position is before it changes anything, and hands you that record at the end alongside the final one. It costs the agency nothing and it is the only thing that makes a final review a comparison rather than two opinions.
There is a specific reason this matters right now. On 22 October 2026 we put a 198 question set of Indian buying questions to ChatGPT and Gemini, with the market fixed inside the prompt because the gl, hl and location parameters on the search API are accepted, return 200 and answer from somewhere else. That produced 64 blind readings. ChatGPT carried 2,929 of the 3,031 citation URLs in that set and Gemini carried 102, with 3 of its 32 readings carrying none at all. Local agencies were named repeatedly without being prompted: Schbang in 12 readings, Infidigit in 7, PageTraffic in 7, Techmagnate in 7, Social Beat in 7 and WATConsult in 7.
So there is now a measurable position for an agency to be judged against, and it changes between the start and the end of an engagement. A contract that does not require the starting position to be recorded leaves the most useful evidence uncollected.
What Indian buyers ask about agency contracts
Is a twelve month lock in ever reasonable? For work that accumulates, yes, if you trade it for a short notice period rather than accepting both. A long term with a long notice window is two concessions.
Can we hold back payment if results are poor? Payment should follow delivery of defined work, which is why the outputs need naming in the contract. Withholding against an undefined scope is how disputes start.
What if the agency built our website? Then source files, hosting access and the domain registration all need naming in the handover clause. A domain registered in a supplier's name is the most expensive thing on this page to recover.
Should the contract name individuals? Name the day to day contact and the delivery lead, and require notice before either changes. The gap between the pitch team and the delivery team is the most common complaint after month three.
Who should review this, legal or marketing? Both, and finance on the invoicing clause. Most of the damage on this list is done by clauses marketing signs without reading because they look administrative.
The record to start keeping on day one
The baseline clause above is only useful if somebody takes the reading. AI Knows Us keeps it independently of the agency being judged, reading the same buyer questions every month across ChatGPT, Gemini, Perplexity, Claude and Google AI Overviews, with answers that cited your pages reported separately from answers that named your business. In India the plan that reads all five engines is Rs 11,799 a month, read from aiknowsus.com on 22 October 2026; the Rs 4,999 tier on that page reads zero engines and is a demand and search product rather than this one.
For the entity and invoice side of choosing a supplier here, which sits next to several of these clauses, see our page on whether an Indian buyer needs an Indian agency and a rupee invoice. If you have not yet settled which kind of supplier you are buying, our page on the nine trades that sell under one phrase in India sorts the labels first, and it covers the invoice lines at a level this page goes well past.
